Bayerische Hypo- und Vereinsbank Aktiengesellschaft (commonly referred to as HypoVereinsbank or HVB) is the second-largest private German financial institution and is the second-largest German retail bank, with a strong presence in Bavaria. It owns 94.98% of Bank Austria and 79.5% of Bank BPH, the 3rd largest bank in Poland. Through its subsidiary Bank Austria Creditanstalt it is the market leader in Austria. The company is based in Munich, and together with Deutsche Bank, Dresdner Bank, Commerzbank and Deutsche Postbank, it belongs to the Cash Group. The spokesman for the executive board is Dieter Rampl.
The other board members are: Johann Berger (since April 1, 2005), Dr. Stefan Jentzsch, Dr. Michael Kemmer, Christine Licci, Michael Mendel, Gerhard Randa and Dr. Wolfgang Sprißler.
The banking group employs approximately 66,500 employees and operates 2,100 subbranches and has more than 8.5 million clients. The bank's business focuses on Germany, Austria and Central and Eastern Europe.
On 24 November 2005, its takeover by UniCredito Italiano SpA was completed, after an offer of five new UniCredit shares for one Hypo- und Vereinsbank share was accepted by shareholders representing 93.93% of the company.
